Founded in the 1950’s and based in Bethlehem, PA, the Company has differentiated capabilities in design, engineering, custom small batch manufacturing and assembly, and a longstanding reputation for quality, reliability, flexibility and customer service. Owned and led for decades by Alan Trent, the Company’s shareholders and the Trent family estate engaged Silvergrove to conduct a global search for the right partner following his death at age 92. Silvergrove led a competitive process through which ARI-Armaturen Albert Richter GmbH & Co. KG (“ARI”), a privately held global leader in the valve industry based in Schloß Holte-Stukenbrock, Germany, was identified as a high potential fit. With a presence in 18 countries, ARI has been a trusted and reliable partner for its customers in all parts of the world for nearly 75 years. ARI established itself in the U.S. in 2003 and was seeking to expand its presence and product portfolio in the important U.S. market. As Warren Controls is a supplier of control valves to the U.S. military for applications on naval warships and submarines and ARI is a foreign owned company, the transaction was subject to regulatory approval by the Committee on Foreign Investment in the U.S. (“CFIUS”), an interagency committee which reviews the national security implications of foreign investment in the U.S. and ensures compliance with International Traffic in Arms Regulations (“ITAR”). Following regulatory approval, the highly strategic transaction was completed and ensured the continued success of Warren Controls for decades to come while strengthening the competitive position of ARI in the U.S.
