Silvergrove represents middle market companies in sell-side transactions. Our sell-side engagements include representing clients in highly competitive processes as well as in exclusive negotiations with a particular acquirer. The structure of our sell-side transactions also varies from 100% stock or asset sales to sales of controlling and non-controlling interests in which our clients retain meaningful ownership in their companies. Our clients may be motivated to sell by a number of factors, including an unsolicited approach from an acquirer, the need for liquidity and diversification on the wealth concentrated in their businesses, or the changing competitive dynamics in their industries. Regardless of the situation, we understand the importance of our clients’ decisions to sell their companies, and each of our sell-side clients receives the intensive senior level focus required for successful execution of these complex transactions.

At Silvergrove, we have knowledge and experience in the unique acquisition processes and criteria of the largest and most active foreign and domestic, public and private, strategic and financial acquirers of middle market companies. This knowledge and experience allows us to strategically position our clients’ companies in a way that maximizes interest from potential acquirers. Our experience is that a competitive sale process most often maximizes value for our clients’ companies. It is also our experience that the highest valuation is oftentimes not from the obvious acquirers. Therefore, we conduct an exhaustive global search to identify potential acquirers. We prioritize those acquirers with strong financial capacity, compelling strategic rationale, and a proven M&A history and track record. We approach potential acquirers on behalf of our clients; assist them in soliciting and negotiating indicative offers, term sheets and final offers; and coordinate all aspects of the due diligence and closing process including financial, legal, accounting, environmental and HR. This hands-on approach throughout each sell-side engagement positions us to achieve the best possible outcomes for our clients.

Silvergrove represents middle market companies in raising capital. Middle market companies require capital for a number of objectives, including funding organic growth strategies, acquisition opportunities, shareholder buyouts, recapitalizations, and balance sheet restructurings. However, it has become increasingly difficult for many middle market companies to access capital through traditional financing sources for a number of reasons, including stricter credit and regulatory standards, more bureaucratic underwriting processes, and high dollar minimums. Further, middle market companies oftentimes do not have adequate management resources to effectively manage a capital raising process. Silvergrove provides middle market companies the assistance they require to raise capital in an efficient timeframe to meet their strategic and financial objectives.

At Silvergrove, we have extensive relationships with middle market financing sources, including regional and national commercial banks, non-bank lenders including SBIC’s and BDC’s, specialty asset backed and cash flow lenders, and mezzanine and private equity firms. Further, we understand the complexities of the various financing structures and securities available to middle market companies, including working capital revolvers, acquisition facilities, senior term loans, subordinated debentures, mezzanine financing, preferred equity securities, and common equity. We assist our clients in all aspects of the capital raising process including preparing marketing materials; contacting financing sources; providing valuation guidance; soliciting indicative offers, term sheets and final offers; coordinating due diligence and negotiating terms. Silvergrove represents middle market companies in buy-side transactions. Increasingly, middle market companies are pursuing acquisitions to remain competitive. Well executed acquisitions can help a middle market company expand its product offering, diversify its customer base, and extend its geographic reach. Well executed acquisitions can also help a middle market company achieve scale and meet shareholder expectations for growth and profitability. Many middle market companies have been successful growing their companies organically but do not have experience executing acquisition strategies. Further, acquisitions can be time intensive, consuming valuable management resources and distracting management teams from their core responsibilities. Silvergrove provides middle market companies sophisticated buy-side expertise and experience. We assist middle market companies in executing successful acquisitions while allowing their management teams to remain focused on the operation of their businesses.

Our buy-side engagements range from representing middle market companies in negotiations with a particular acquisition target to researching and identifying acquisition opportunities. Oftentimes, middle market companies may require strategic advisory services long before they are prepared to engage in an M&A process and pursue a transaction. These services may include preparing valuation guidance for a company and its businesses; developing profiles and analysis of potential public and private, financial and strategic, foreign and domestic investors or acquirers; researching and identifying organic growth and acquisition opportunities; analyzing balance sheets and financing alternatives; and evaluating operations, accounting and financial systems for suitability prior to an M&A process. Our strategic advisory services allow us to establish relationships with many of our clients in advance of representing them in an M&A engagement.
